Terms of Service

1. Agreement

By accessing or using SpendWeave ("Service") you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by SpendWeave (see /impressum for operator details).

2. Service description

SpendWeave provides tools for Microsoft Fabric capacity cost analysis:

• Free Audit: a browser-based tool that analyses a Capacity Metrics CSV you export from Microsoft Fabric and returns directional cost estimates and right-sizing recommendations. Processing occurs entirely client-side.
• SpendWeave Monitor (Tier 2, early access): a continuous monitoring application that reads capacity telemetry from your own Microsoft Fabric tenant using delegated Azure Entra ID tokens.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Circumvent any access controls or security measures
• Use automated means to access the Service in a manner that exceeds normal human usage
• Introduce malware, viruses, or other harmful code
• Resell or sublicense access to the Service without express written permission

4. Estimates are directional

All cost estimates, right-sizing recommendations, and savings projections produced by the Service are directional only. They are based on heuristics applied to your exported Capacity Metrics data and publicly available Microsoft Fabric SKU pricing. Actual costs, savings, and optimal SKU selection depend on many factors outside our control, including Microsoft pricing changes, workload variation, and tenant configuration. Do not make procurement decisions based solely on Service output without independent verification.

5. Intellectual property

All content, software, and materials on spendweave.com are the property of SpendWeave or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPENDWEAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SPENDWEAVE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR EUR 100 IF NO AMOUNTS HAVE BEEN PAID.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, these Terms (including §7 and §8) survive.

10. Governing law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the operator is registered (see /impressum), without regard to conflict of law provisions.

11. Changes to Terms

We may modify these Terms at any time. If we make material changes we will notify you by email or by posting a notice on spendweave.com. Continued use of the Service after changes constitutes acceptance of the new Terms.
